Terms of Service
Last updated: August 30, 2026
These Terms of Service (“Terms”) govern your access to and use of Recon by 1 MSP (the “Service”), provided by 1 MSP LLC (“1 MSP,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Recon ingests, extracts, and reconciles vendor invoices for managed service providers, and can sync with third-party accounting and email systems you connect. We may update, add, or remove features over time.
2. Accounts and eligibility
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for your users’ compliance with these Terms. The Service is for business use by individuals 18 or older.
3. Acceptable use
You agree not to misuse the Service, including by attempting to access data that is not yours, disrupting the Service, reverse engineering it, or using it to violate any law or third-party right.
4. Third-party integrations
When you connect a third-party account (such as QuickBooks Online or Microsoft 365), you authorize us to access and process data from that account to provide the Service. Your use of those third-party services remains subject to their own terms, including Intuit’s terms for QuickBooks Online. You may disconnect an integration at any time. We are not responsible for third-party services or their availability.
5. Fees
Paid plans are billed on a subscription basis as described at the time of purchase. Except as required by law or expressly stated, fees are non-refundable. We may change pricing on a prospective basis with notice.
6. Customer data
As between you and us, you retain all rights to the data you submit or that is ingested on your behalf (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.
7. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by 1 MSP and its licensors and is protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Recon assists with invoice processing and reconciliation but does not provide accounting, tax, or legal advice; you are responsible for reviewing outputs before relying on them.
9. Limitation of liability
To the maximum extent permitted by law, 1 MSP will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid for the Service in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless 1 MSP from claims arising out of your Customer Data, your use of the Service, or your violation of these Terms, to the extent permitted by law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period unless prohibited by law.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
